Clear, human-readable terms that govern your use of the CoClaim.AI platform. Please read them carefully. They define our mutual responsibilities and protections.

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the CoClaim.AI platform, website, and related services (collectively, the "Services"), operated by LisbonCodeLab™ ("CoClaim", "we", "us", "our").

By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization. If you do not agree, do not use the Services.

2. Eligibility & Accounts

The Services are intended for use by healthcare organizations, billing teams, and authorized personnel. You must be at least 18 years old and legally able to enter into a binding contract.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately if you suspect unauthorized access. We are not liable for losses resulting from your failure to safeguard credentials.

3. The Services

CoClaim.AI provides an AI-powered denial management platform that centralizes denied claims, automates preparatory workflows, and assists billers in compiling and submitting appeal packages.

Our AI agents perform autonomous preparatory actions (data gathering, document retrieval, package drafting) but external actions such as submissions, communications, or record modifications always require explicit human approval.

We may update, modify, or improve the Services at any time. Material changes will be communicated where reasonable.

4. Acceptable Use

You agree not to:

• Use the Services for any unlawful, fraudulent, or harmful purpose.

• Submit false, misleading, or fraudulent claims or appeal packages.

• Reverse engineer, decompile, or attempt to extract the source code of the Services.

• Probe, scan, or test the vulnerability of the Services without written authorization.

• Interfere with or disrupt the integrity or performance of the Services.

• Upload or transmit malware, viruses, or other malicious code.

• Use the Services to violate the privacy or intellectual property rights of others.

• Resell, sublicense, or provide the Services to third parties without our written permission.

5. Customer Data & Ownership

You retain all rights, title, and interest in the data you upload or process through the Services ("Customer Data"), including any Protected Health Information (PHI).

You grant CoClaim a limited, non-exclusive license to use Customer Data solely to provide, maintain, secure, and improve the Services for your organization, in accordance with our Privacy Policy and any applicable Business Associate Agreement (BAA).

You are responsible for ensuring you have the legal right to upload and process Customer Data and that its use complies with all applicable laws and contractual obligations.

6. HIPAA & Business Associate Agreement

When CoClaim processes PHI on behalf of a Covered Entity, we do so as a Business Associate under HIPAA. A signed Business Associate Agreement (BAA) governs the handling, storage, and disclosure of PHI.

If your organization requires a BAA, please contact us before transmitting any PHI to the Services. We will not knowingly process PHI without an executed BAA in place.

7. Third-Party Integrations

The Services integrate with third-party systems such as Brightree, Bonafide, NikoHealth, and various payors. Your use of third-party integrations is governed by those providers' terms and privacy policies.

CoClaim is not responsible for the availability, accuracy, or conduct of third-party systems. Integration failures or changes by third parties may affect Service functionality.

8. Fees & Payment

Access to the Services may be subject to subscription fees, usage-based fees, or other charges set out in your order form or agreement with CoClaim.

Unless otherwise stated, fees are non-refundable. You are responsible for all applicable taxes. Late payments may result in suspension or termination of access. We will notify you in advance of any pricing changes applicable to renewals.

9. Intellectual Property

CoClaim.AI, the platform, software, models, designs, logos, and all related intellectual property are owned by LisbonCodeLab™ and are protected by copyright, trademark, and other laws.

These Terms grant you a limited, non-transferable, non-exclusive right to use the Services during the term of your subscription. No other rights are granted by implication or otherwise.

10. Confidentiality

Each party agrees to protect the other's confidential information with the same degree of care it uses for its own (and no less than reasonable care). Confidential information may only be used to perform obligations under these Terms and may not be disclosed except to personnel with a need to know who are bound by confidentiality obligations.

11. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.

CoClaim does not guarantee that appeals prepared or submitted through the Services will be accepted or result in payment. Claim outcomes depend on payor decisions, clinical documentation, and factors outside our control.

12. Limitation of Liability

To the maximum extent permitted by law, CoClaim and LisbonCodeLab™ shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from or related to your use of the Services.

Our total aggregate liability under these Terms shall not exceed the fees paid by you to CoClaim during the twelve (12) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless CoClaim, LisbonCodeLab™, and their officers, directors, employees, and agents from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from: (a) your use of the Services; (b) your breach of these Terms; (c) your Customer Data; or (d) your violation of applicable law or third-party rights.

14. Termination

You may terminate your account at any time by contacting us or following the in-product instructions. We may suspend or terminate access if you breach these Terms, fail to pay fees, or use the Services in a manner that risks harm to CoClaim, its customers, or third parties.

On termination, your right to use the Services ends immediately. We will make Customer Data available for export for a limited period, after which it may be deleted consistent with our Privacy Policy and applicable BAA.

15. Governing Law & Dispute Resolution

These Terms are governed by the laws applicable to the jurisdiction in which LisbonCodeLab™ is established, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in the competent courts of that jurisdiction, unless otherwise required by mandatory local law.

16. Changes to These Terms

We may update these Terms from time to time. When changes are material, we will provide reasonable notice by updating the "Last Updated" date and, where appropriate, notifying you through the Services. Continued use after changes take effect constitutes acceptance of the updated Terms.
